Electronic Arts (EA) has confirmed that it has received all the regulatory approvals needed to complete its historic $55 billion acquisition, clearing the way for one of the biggest buyouts in the video game industry's history.
The company announced that the transaction is expected to officially close on or around August 4, 2026, after the close of trading. Once the deal is finalized, Electronic Arts will become a privately held company and its shares will no longer trade on the Nasdaq stock exchange.
The record-breaking acquisition is being led by a consortium that includes Saudi Arabia's Public Investment Fund (PIF), global investment firm Silver Lake, and Affinity Partners. Under the terms of the agreement, EA shareholders will receive $210 in cash for each share they own.
The buyout marks a major shift for one of the world's largest video game publishers, whose portfolio includes some of gaming's biggest franchises, such as Battlefield, The Sims, EA Sports FC, Madden NFL, Apex Legends, and Need for Speed. Going private is expected to give the company greater flexibility to invest in long-term projects without the pressure of quarterly public market expectations.
Despite the ownership change, Electronic Arts has confirmed that there will be no changes to its headquarters or leadership structure. The company will continue operating from its base in Redwood City, California, while Andrew Wilson will remain Chief Executive Officer and continue leading EA's worldwide network of studios and development teams.
EA said the completion of the transaction represents the final step in the merger process after securing approval from regulators. The company had previously announced the acquisition earlier this year, and the latest update confirms that all required legal and regulatory conditions have now been satisfied.
Once the acquisition is completed, Electronic Arts will officially transition from a publicly traded company to a privately owned business backed by the investment group. The move is expected to reshape the company's long-term strategy as it continues expanding its gaming portfolio, live-service titles, and future technology investments.
